Terms & Conditions of Trade
NexStep Health Pty Ltd
1. Definitions

“Supplier” means NexStep Health Pty Ltd (trading as NexStep).

“Client” means the clinic, practice, or individual ordering Goods or Services from the Supplier.

“Goods” means all hardware (including AI Gait Analysis Treadmills), custom-made orthotics, and clinic consumables supplied by the Supplier.

“Services” means AI-generated gait analysis, software licensing, training, and support.
-
“Order” means any request by the Client for Goods or Services, whether made via the website, email, or formal quotation acceptance.
2. Orders and Supply
2.1 All Orders are subject to acceptance by the Supplier. 2.2 The Supplier may reject an Order if it cannot be fulfilled or if the Client is in breach of these Terms. 2.3 Custom Goods: Custom-made orthotics and specially ordered hardware are not returnable, except as required by Australian Consumer Law. 2.4 Professional Use: The Client warrants that the Goods (specifically the AI Treadmill) will be operated only by qualified allied health professionals.
3. Pricing and Payment
3.1 Pricing is as set out in the Supplier’s current price list or approved quotation. 3.2 Hardware: For treadmill purchases, a deposit is required as specified in the quotation, with the balance due prior to or on installation. 3.3 Consumables & Orthotics: Statements will be issued on the 1st day of each month. 3.4 Payment is strictly due within 7 days of the statement date. 3.5 The Supplier may charge interest at 2% per month on overdue accounts and may suspend supply of Goods or software access if accounts remain unpaid. 3.6 All costs incurred in recovering overdue accounts, including legal fees, are payable by the Client.
4. Delivery, Installation, and Risk
4.1 Delivery dates are estimates only. The Supplier is not liable for delays. 4.2 Risk in the Goods passes to the Client upon delivery or installation at the Client’s premises. 4.3 Title to the Goods remains with the Supplier until full payment is received. 4.4 The Supplier reserves the right to register its interest in high-value hardware on the Personal Property Securities Register (PPSR).
5. Warranty and Liability
5.1 Hardware: The AI Treadmill is covered by a limited manufacturer's warranty for [e.g., 12 months] from the date of installation. 5.2 Orthotics: The Supplier warrants that orthotics are free from defects for 30 days from delivery. 5.3 Clinical Data: As the AI software generates data based on patient use, the Supplier accepts no liability for errors or unsuitability arising from incorrect setup by the Client or patient non-compliance. 5.4 No Medical Advice: The Supplier provides technology for data collection; the Client is solely responsible for clinical interpretation and patient outcomes. 5.5 Liability for breach of any consumer guarantee is limited, at the Supplier’s option, to repair, replacement, or refund.
6. Client Obligations
6.1 The Client must ensure the installation site meets the Supplier’s power and space specifications. 6.2 The Client is responsible for ensuring the suitability of the AI analysis and Goods for their specific patients. 6.3 The Client indemnifies the Supplier against any claims arising from the use of the Goods, except to the extent caused by the Supplier’s negligence.
7. Software and Intellectual Property
7.1 All AI algorithms, software interfaces, and manufacturing processes remain the property of the Supplier. 7.2 The Client is granted a non-exclusive license to use the software provided with the hardware, subject to any ongoing subscription fees.
8. Privacy & Data
8.1 The Supplier collects gait data and prescriptions solely for the purposes of analysis and manufacturing. 8.2 Such information is handled in compliance with the Privacy Act 1988 (Cth) and the Health Records Act (where applicable).
9. Dispute Resolution
9.1 Any dispute shall first be referred to mediation in [Your State, e.g., Victoria] before legal proceedings. 9.2 These Terms are governed by the laws of [Your State, e.g., Victoria] and the Commonwealth of Australia.
Privacy Statement
NexStep Health Pty Ltd respects the privacy of our clients and their patients. We are committed to complying with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).
1. Collection of Information
We collect personal and health information (including foot scans, gait analysis data, prescriptions, and clinical notes) solely to provide AI analysis and manufacture custom orthotics.
2. Use of Information
Information is used for:

Generating biomechanical reports via AI;

Manufacturing orthotics to provided specifications;

Improving our AI algorithms through de-identified data analysis; and

Fulfilling legal and regulatory obligations.
3. Disclosure of Information
We do not sell or trade personal information. We only disclose information to third parties (such as logistics or manufacturing partners) where necessary to complete your order or where required by law.
4. Data Security
We implement high-level encryption and restricted access protocols to protect sensitive health data from misuse, loss, or unauthorised access.
5. Access and Correction
Clients may request access to, or correction of, personal information held by NexStep. Requests should be made in writing to shane@nexstephealth.com.au
6. Complaints
Complaints regarding the handling of personal information should be directed to our privacy officer at the email address above. If not resolved, complaints may be referred to the Office of the Australian Information Commissioner (OAIC).
